The comforting reading is that a high-quality water-technology company is coming to the market. The honest reading is that three-quarters of the issue is an exit, and the sellers are leaving at roughly nine times what they paid.
Well-cooked or rushed
Very well-cooked. Profit has been high and steady for years: profit after tax went ₹144 Cr to ₹152 Cr to ₹160 Cr on revenue of ₹677 Cr to ₹727 Cr to ₹821 Cr. FY26 operating margin was 29%, net margin about 20%, and return on net worth 21.5%. This is a mature, consistently profitable company. The question here is the deal structure, not the business.
What the company does
SFC is an environmental technology company. It designs and builds sewage and industrial wastewater treatment plants using its own C-Tech process (an advanced sequencing batch reactor, a tank-based biological treatment method), plus water recycling and reuse (ultrafiltration, reverse osmosis, membrane bioreactor) and solid-waste treatment through its OREX technology (which separates wet organic waste from mixed garbage for biogas). It had 728 installations as of July 2026, across 23 states and 5 union territories. Customers are EPC firms, municipal bodies and government entities, and 92% of FY26 revenue came from repeat customers. The technology has European roots, with German and Czech subsidiaries, and the company has an exclusive DuPont supply tie-up in India. Its order book includes compressed-biogas plants worth ₹501.7 Cr via a subsidiary.
The issue
| Item | Detail |
|---|---|
| Type | Book-built, fresh issue plus offer for sale |
| Size | ₹667.53 Cr |
| Fresh issue | ₹150 Cr |
| Offer for sale | ₹517.53 Cr (77.5% of the issue) |
| Price band | ₹313 to ₹330 (face value ₹2) |
| Lot size, minimum | 45 shares, ₹14,850 |
| Dates | Open 27 Oct, close 29 Oct, list 3 Nov 2026 |
| Promoter holding | 48.18% to 41.18% |
| Post-issue market cap | ₹3,233 Cr |
Who is selling, and at what cost: the offer document shows the sellers' weighted-average cost of acquisition is about ₹36.72 a share (one seller at ₹42.85). At the ₹330 cap, they are exiting at roughly nine times their cost. Promoter sellers account for ₹154 Cr (Dhandoriya ₹123 Cr, Asolkar jointly ₹31 Cr); non-promoter early investors account for ₹363 Cr.
Use of proceeds
This is the crux. Only the ₹150 Cr fresh portion funds the company. The ₹518 Cr offer for sale goes to the selling shareholders, not the company.
| Use of fresh net proceeds | Amount (₹ Cr) |
|---|---|
| Prepayment of certain borrowings (company and subsidiary Vasudha Waste Treatment) | 42.23 |
| Funding working capital requirements | 74.92 |
| General corporate purposes | balance |
So of a ₹668 Cr issue, the company keeps about ₹150 Cr before expenses, and roughly three-quarters is a payout to exiting shareholders.
Financials (restated consolidated, ₹ Cr)
| Metric | FY24 | FY25 | FY26 | Q1 FY27 |
|---|---|---|---|---|
| Total income | 676.74 | 726.96 | 821.27 | 137.90 |
| EBITDA | 193.25 | 207.48 | 235.81 | 9.86 |
| EBITDA margin | 28.6% | 28.5% | 29.3% | 7.4% |
| Profit after tax | 144.17 | 152.01 | 160.21 | 1.48 |
| Total borrowings | 139.16 | 83.71 | 195.64 | 204.77 |
| Return on net worth | — | — | 21.3% | 0.2% (Q) |
Read two things correctly. The June 2026 quarter looks tiny (profit ₹1.48 Cr) because this is a lumpy project business where revenue and profit land mostly in the second half, so use the full-year FY26 figure as the fair lens and ignore any scary annualised post-issue P/E. And borrowings doubled from ₹84 Cr to ₹196 Cr in FY26; the ₹42 Cr prepayment only dents that, though debt to equity stays low at 0.24.
Peers and pricing
The three listed peers named in the offer document, with the company alongside (peer financials for FY26, peer market caps approximate for Aug to Oct 2026, peer P/E as cited in the document on 16 Oct 2026):
| Company | Market cap (₹ Cr) | FY26 revenue (₹ Cr) | FY26 PAT (₹ Cr) | PAT margin | P/E (x) | RoNW | P/BV (x) |
|---|---|---|---|---|---|---|---|
| SFC Environmental (at ₹330) | 3,233 (post-issue) | 821 | 160 | ~19.5% | ~20 | 21.3% | ~3.8 |
| Thermax | ~36,000 | 10,694 | 720 | 6.7% | 52.0 | 13.7% | 6.8 |
| Ion Exchange India | ~5,700 | 2,915 | 143 | 4.9% | 31.3 | 11.2% | 4.1 |
| Praj Industries | ~6,000 | 3,168 | 24 | 0.8% | 220.8 | 1.8% | 4.0 |
This is the real argument for the IPO. SFC is the smallest by revenue but the most profitable by a wide margin, a net margin near 20% against 5 to 7% for Thermax and Ion Exchange and under 1% for Praj (whose FY26 profit collapsed 89% on one-off charges, which is why its P/E of 220 is distorted). SFC also has the highest return on net worth in the group, and on FY26 earnings it is the cheapest on P/E at about 20 times, against Thermax at 52 and Ion Exchange at 31. The listed number one by size is Thermax, a far larger and more diversified player; SFC is smaller but more focused and higher-returning in its niche. The grey-market premium implies a listing near ₹350, a market cap of about ₹3,428 Cr.
Market size
India's wastewater treatment market is estimated at roughly USD 6 to 10 billion by 2030 depending on scope, growing around 6 to 10% a year, with a large treatment gap, only about a third of the country's roughly 62,000 million litres per day of wastewater is treated today. SFC, with about ₹821 Cr (around USD 98 million) of revenue, holds a small share of that, with structural tailwinds from Namami Gange, AMRUT, Swachh Bharat and the compressed-biogas push. These are directional industry estimates; the company's own prospectus cites a Frost & Sullivan report whose precise figure is worth confirming from the document.
Red and amber flags
The structure is the main flag: 77.5% of the issue is an offer for sale, so only ₹150 Cr of ₹668 Cr reaches the company, and the sellers are exiting at roughly nine times their ₹36.72 cost. Promoters fall to 41%, a low level of skin in the game, and public-float rules can force more selling later. Borrowings doubled in FY26. The June quarter looks weak on seasonality, which is manageable but worth watching. One disclosure note: the full risk-factor, litigation and cash-flow sections of the prospectus should be read directly before any final decision.
Verdict
A genuinely differentiated, high-margin water-technology business with European technology roots, priced reasonably on FY26 earnings at about 20 times, the cheapest in its peer set and with the best margins and returns. But it is substantially an exit: 78% offer for sale, sellers leaving at around nine times cost, promoters down to 41%, only ₹150 Cr reaching the company, and a cooling grey market around 6%. A good company, a seller's deal, with a muted near-term pop likely.
